INeedAHelp Technologies Private Limited ("Company"), primarily owns, operates, controls and manages the Platform, an online service to post and search employments opportunity for Unorganized Workers.

Please carefully go through these terms and conditions along with the Privacy Policy, Copyright Guidelines, Disclaimer Policy and any other Terms of Use or Guidelines connected with the use of the Platform before you decide to access the Platform or avail the services made available on the Platform.

These Terms of Use, together with our Privacy Policy, Copyright Guidelines, Disclaimer Policy and any other Terms of Use or Guidelines connected with the use of the Platform, constitute a legally binding agreement (the “Agreement”) between You and the Platform in relation to Your use of the Services. This Agreement is an electronic record in terms of Information Technology Act, 2000 and generated by a computer system and does not require any physical or digital signatures.

Definitions
1. “Company, We, Us and Our”, shall refer to INeedAHelp Technologies Private Limited,
2. “Customer” refers to Individual (Employers) who engage with the Platform for connecting with & hiring the nearby Helpers who are seeking work opportunities at a local level.
3. “Helper” refers to Individuals (Unorganized Workers) who have registered themselves with the Platform and offer their services at a local level, either as permanent or temporary hiree, in return of a monthly salary or wages as per their services offered to the Customer. It shall refer in person to the individuals who are employed as workers, such as Maids, Cooks, Babysitters,Drivers,Delivery Boys, Field Executives, Peons, Labours, or any other kind of Unorganized Worker added on the Platform from time to time.
4. “Service” or “Services” shall refer to all the Services provided on the Platform for the Customer as well as the Helper.
5. “Unorganized Worker” shall mean either a DomesticWorkers, Self-employed Workers, Workers for Expats, School Workers, Salon Workers, Restaurant & Hotel Workers, Store Workers, Office Workers, Hospital & Clinic Workers, Building & Construction Workers, Factory Workers in the unorganized sector and any worker not already covered under the labour laws of India.
6. “You”, “Yourself/Yourselves” and “Your” shall mean both the Customer as well as the Helper who is entering into this agreement with INeedAHelp Technologies Private Limitedthrough the Platform.
7. “Platform” shall refer to Helpers Near Me, the Website and the Mobile Applications (iOS & Android) and also interchangeably.
Acceptance of Terms of Use

Please read these Terms of Use,Privacy Policy, Copyright guidelines, and Disclaimer very carefully.

By accessing or using the Platform, registering an account, or by viewing, accessing any information or content from or to the Platform, you represent and warrant that you have read and understood the terms of use, privacy policy, copyright guidelines, disclaimer and will abide by them.

You are indicating that you accept the Terms of Use and your acceptance is bound by the provisions of these Terms of use, including any updation / revisions made therein.

The Platform may revise the Agreement at its discretion. The Platform does not have any obligation or responsibility to inform or intimate you in any manner, directly or indirectly, of the posting once updated or prior to such updation.

Your use of the Platform following any such modification constitutes your agreement to follow and be bound by the terms of use as modified.
Changes to Terms of Use

We reserve the right to change, alter, replace or otherwise modify these Terms of Use at any time. The date of last modification is stated at the end of these Terms of Use.

Therefore, we encourage you to review these Terms of Use regularly for any changes.
Description and Use of the Platform
1. We aim at providing a technology led Platform for connecting Customers with one or few options of potential Helpers(as available near to your search location) against a nominal fee. The Platform acts as a connecting point/intermediary for connecting with a few nearbyHelpersthrough technology, in a way which helps the Customer find a Helper, as per his/her requirement. The Platform allows the Customers to connect with potential Helpersactively looking for Work Opportunitiesaround your search location.
2. At the time of placing an order,the Platform, depending on the area/location provided by the Customer will give you with the name, contact numbers and a few basic details of the potential Helper in the category required by you. The Customer has the freedom to call and reach out to all or few Helpers and set up a meeting as well as hire any of the Helper as per your requirement. The monthly fee/salary to be paid to Helper shall be decided between the Customer and the Helper separately, and it has no connection with the Companyor the Platform in any way. The Services shall be available to the Customer only after making payment of the prescribed nominal fee.
3. The Company operating the Platform is not an Agency, Agent or Contractor ofthe Customers or the Helpersin any way. The Platform is not providing a liasioningservice of such Helpersto the Customer. The Helpersand the Platform do not share any Employer-Employee relationship. The actual services provided to the Customer by the Helper is, therefore, subjected to a separate relationship between the Helperand the Customer. The Platform or the Company shall under no circumstances be a party to that relationship. The Platform does not claim any liability in respect of the Helper, including but not limited to any claims of employment or any vicarious liability arising out of the Service or otherwise.
4. We reserve the right to change the Convenience Fee, and the Number of Contacts/Connects of Helpers the Platform would pass on to the Customers. Prior to the transaction, the Customer shall be provided with the option to determine the number of options of potential Helpersfrom around that the Customer seeks to be provided with. The fee shall be charged based on the category of Helperthat a Customer decides to be provided with. The Customer has the option to take the decision to proceed further as per the fee quote provided by the Platform.
5. It is your responsibility to ensure that You have downloaded the correct Mobile Application for your device. It is also Your responsibility to ensure that Your device is compatible with the Mobile Application. The Company does not claim any liability if you do not have a compatible mobile device or if you download the wrong version of the Mobile Application for your device.
6. By using the services of the Platform, you further agree that:
  1. You will use our Services for your sole, personal use and will not resell our Services to a third party;
  2. You will not assign or transfer your account to any other person/legal entity;
  3. You will not use our services for unlawful or fraudulent purposes;
  4. You will keep your account password secure and confidential;
  5. You will follow/abide by the applicable laws of India.
7. The Company denies any liability of any nature arising out of a breach of any of the above-mentioned covenants.
8. The Company reserves the right to terminate the use of the Platform and your account immediately, should you not comply with the abovementioned covenants.
9. The Platform, may, from time to time, release new tools and resources on the Website, release new versions of the Apps, or introduce other services and/or features for the Platform. Any new services and features will be subject to these Terms of Use as well as any additional terms of use that we may release for those specific services or features.
10. We appreciate hearing from You and welcome Your comments regarding our Services and the Platform. Please be advised, however, that our policy does not permit us to accept or consider creative ideas, suggestions, inventions or materials other than those which we have specifically requested. While we do value your feedback on our Services, please be specific in your comments regarding our Services and do not submit creative ideas, inventions, suggestions, or materials. If, despite our request, you send us creative suggestions, ideas, drawings, concepts, inventions, or other information the same shall be the property of the Company. None of the submission shall be subject to any obligation of confidentiality on our part and we shall not be liable for any use or disclosure of any submission. The Company shall own exclusively all now known or later discovered rights to the submission and shall be entitled to unrestricted use of the submission for any purpose whatsoever, commercial or otherwise, without compensation to you or any other person who submitted the submission.
11. The information made available on the Platform is for the employment search and Youshall not use the same for any other purpose. The information and database and other features ofthe Platform may be used by the Customers only for the purpose of employment by self or own company.
12. You shall not use any Platform Content / database for any purpose other than as an employerseeking to employ an employee, including but not limited to using the information in theinformation database to sell or promote any products or services.
‘Helpers Near Me’ Account- Registration and Password
1. You are not obliged to register, however, access to Services is only available to the registered Customers. When you register to find a Helpers through the Platform, you will provide us with your email address, mobile number and will choose a username and password for your account. You must ensure that the email address & phone number that you provide is, and remains valid. Your email address, phone number and any other information you chose to provide about yourself will be treated in accordance with ourPrivacy Policy. In addition to the Terms of Use and Privacy Policy, the Company may disclose to third parties on an anonymous basis, certain aggregate information contained in your registration application. Subject to the Terms of Use herein, the Company will not disclose to any third party your name, address, e-mail address or telephone number without your prior consent, except to the extent necessary or appropriate to comply with applicable laws or in legal proceedings where such information is relevant.
2. Customers are solely responsible for the postings by them on the Platform. The Platform is not to be considered to be an employer with respect to the use of the Platform by the Customer and the Company/Platform shall not be responsible for any employment decisions, for whatever reason, made by any entity posting jobs on the Platform.
3. You may terminate your account at any time as described in theTerminationsection below.You understand and acknowledge that if you cancel your Customer account or your Customer account is terminated, all your account information from the Platform, including saved information, network contacts, and email mailing lists, will be marked as deleted in and may be deleted from the Platform’s databases. Information may continue to be available for some period of time because of delays in propagating such deletion through the Platform’s servers. You further understand and acknowledge, upon the termination of the Customer account, the Platform shall have no obligation or responsibility to return your account information, and you agree and undertake not to have / make any claims for such account information.
4. You shall use the Platform information database in accordance with all applicable privacy and data protection laws, and you agree you shall not further disclose any of the data from the Platform information database to any third party
5. You are solely responsible for maintaining the confidentiality and security of your username and password, and You will remain responsible and liable for all use of your username and password, and all activity emanating from Your account, whether or not such activity was authorized by you.
6. If your username or password is lost or stolen, or if you believe that your account has been accessed by unauthorized third parties, you are advised to notify the Platform in writing and should change your password at the earliest possible opportunity.
7. We reserve the right to disallow, cancel, remove or reassign certain usernames and permalinks in appropriate circumstances, as determined by us in our sole discretion, and may, with or without prior notice, suspend or terminate Your account if activities occur on that account which, in our sole discretion, would or might constitute a violation of these Terms of Use or violation of the rights of any third party, or of any applicable laws or regulations.
Additional terms applicable to the Helpers
1. Registration at the Platform for the Helper is free of cost. There are no charges for this registration.
2. At the time of registration, the Helper will be required to provide their complete details and such information shall be treated in accordance with ourPrivacy Policy.
3. The Platform will allow people to contact with You (Helper) directly, as and when You fit in the criteria of the Customer and the Customer shortlists You (Helper), the Company shall inform You separately and Your (Helper) phone number will be shared with the Customer. The Customer may call You (Helper) directly or may want the Company to approach You (Helper).
4. When someone calls you for a job, you should show interest in it. Chances of getting a job is higher when you meet with the person, understand the job in detail and also discuss the salary face to face.
5. However, You(Helper) agree and acknowledge that the Company shall have the right to provide to the Customer using the Platform, the information provided by You including your mobile number, while the Customer searches for similar profiles such as yours at the Platform. The Company shall not be liable for any claims, liability (direct / indirect) or damages in this regard, should such an eventuality arise as a result of the Company sharing the information provided by You (Helper) to the Customer.
6. You acknowledge and agree that you are solely responsible for the form, content and accuracy of any information or material contained therein placed by you on www.HelpersNearMe.com.
7. By registering with www.HelpersNearMe.com, you acknowledge and agree to be contacted by the employer as referred to under the Terms of Use herein.
8. You (Helper) understand and acknowledge that You have no ownership rights in your account and that if you cancel your account or your account is terminated, all your account information from the Platform, including information, profiles, cover letters, saved jobs, questionnaires will be marked as deleted in and may be deleted from the databases and will be removed from any public area of the Platform.
9. Information may continue to be available for some period of time because of delays in propagating such deletion through the Platform’s web servers. In addition, third parties may retain saved copies of your information.
10. The Company reserves the right to delete Your (Helper) account and all of your information due to any reason by the Company.
The Company is not a party to any Service contract

Each Customerand Helper hereby acknowledge and agree that the Company/Platform is NOT a party to any oral or written Agreement for Service or any contract entered into between the Customer and the Helper in connection with any Service offered, directly or indirectly, through the Platform. The Customerand the Helper acknowledge, agree and understand that the Platform only seeks to provide a platform wherein the Service User and Service Professional can be brought together, and the Platform itself has no role in the execution or provision of Services.

Furthermore, Helpers Near Me strongly recommends the Workers to abide by the ‘Be Good’ Guidelines and adhere to the Safety and Security Guidelines.
Customer’s Guidelines
1. The Company and the Platform are neither an Agency, Agent or Contractor nor it is a Job portal for Helpersor the Customer.
2. The Platform simply helps the Customer connect with nearest Helpers of respective categories that the Customer is looking for on the Platform. Beyond providing the Contact & Basic Profile Details, the Platform does not provide any Service whatsoever. Once the details are shared, the Platform does not carry any obligation nor assumes any liability with respect to ensuring that the Customer and the selected Helpermeet, talk and conduct any discussions or is engaged or hired by the Customer.
3. The Customer shall only be provided with the names, contact details,a relative rating (based on experience, distance from search, etc. as designed by the company), brief work-related information of the potential Helper in the category selected by them in the area where they are located. The eventual selection and hiring process of such Helperis between the Customer and the Helper separately. The salary/fee to be charged by the Helperis to be decided solely between the Customer and the Helper.
4. The Company and the Platform shall not take any portion of the salary/fee determined between the Customer and the Helper, in case You select one from the list provided by the Platform. The Platform only charges You a nominal fee for providing you a ready list of potential Helpers fromaround your search location.
5. The Company does a prior 2-Step Background Verification check on the Helpers whose details are provided through the Platform. However, it is only to the extent of their ID Checks, and Criminal/Court Records Check around Helper’s Present Address. The preliminary validation of the ID is done through Voter ID (http://electoralsearch.in/), Aadhar Card verification (https://resident.uidai.gov.in/verify) & DL Verification (https://parivahan.gov.in/rcdlstatus/?pur_cd=101) through the respective websites. That is limited to the information, which is limiting and to the best what the websites display. The detailed ID Checks & Criminal/Court Record Checks are conducted through the partner company, BetterPlace Safety Solutions Pvt. Ltd. On special requests, at a nominal fee, the Company also conducts a Physical Address Verification Check (via BetterPlace Safety Solutions Pvt. Ltd.) for the specific Helper that the Customer requests for. Complete detail on Company’s Background Verification Policy is mentioned at https://helpersnearme.com/verification-policy Even though the Company conducts a stringent Background Verification of evey Helper; the Company does not take any responsibility of the Helper or guarantee of his/her work or conduct in the future. It is entirely up to the Customer to hire the Helper he/she wants from the list of contacts of Helpers provided during the transaction at the Platform.
6. Customers are recommended and responsible for conducting their own Background Checks and Self-Verification on the Helper they would be finally selecting in a particular category and taking the final call on hiring the right person for the work they want the Helper to perform.TheCompany may assist the Customer to engage with a third party on a request for conducting professional Background Checks on Helpers. However, in such cases, there would be extra and added charges from the fee that they have paid the Platform, which is separately payable to the third party, routed via the platform. The Company takes no responsibility if the Helper whose Background Verification Check was conducted by the third party indulges or engages in any illegal activities.
7. The Companycaptures the mobile numbers (i.e. Contact details) of the Helperas claimed by the Helpers. The Company and the Platform are not liable to the Customer for any loss that the Customer suffers if any Helper changes their contact details after initially connecting with the Customer, either through phone or in person. Once the Customer connects with the Helper in any manner whatsoever, the relationship is solely between the Customer and the Helper and the Company and the Platform are not connected with the further transactions in any manner.
8. It is the sole discretion of the Helper to join the Customer’s Domestic or Workplace environment upon selection. Likewise, it is the sole discretion of the Customer to hire the Helper who he/she finds suitable enough for the work at hand. The Company never influences any Helper to accept the offer of the Customer. In the same way, the Company never influences any Customer to hire any particular Helper.
9. In addition to the foregoing, there are risks, including but not limited to the risk of physical harm, of dealing with strangers, foreign nationals, underage persons or people acting under false pretences. You assume all risks associated with dealing with Helpers with whom you come in contact through the Platform. By its very nature other people’s information may be offensive, harmful or inaccurate, and in some cases may be mislabelled or deceptively labelled. We expect that you will use caution and common sense when using the Platform, notwithstanding the efforts and endeavors that are undertaken by the Platform to protect your interest.
10. The content may contain inaccuracies or typographical errors. The Company makes no representations about the accuracy, reliability, completeness, or timeliness of the Platform. The use of all content on the Platform is at your own risk. The Company cannot guarantee and does not promise any specific results from use of the Platform. No advice or information, whether oral or written, obtained by a user from the Platform or through or from the Platform shall create any warranty not expressly stated herein.
11. You acknowledge and agree that you are solely responsible for the form, content and accuracy of any information or material contained therein placed by you on the Platform. The Customer is solely responsible for their postings on the Platform. The Company is not to be considered to be an employer with respect to your use of the Platform and the Company shall not be responsible for any employment decisions, for whatever reason made, made by any entity posting jobs on the Platform.
12. The Company encourages you to keep a back-up copy of any of your user content. To the extent permitted by law, in no event shall the company be liable for the deletion, loss, or unauthorized modification of any user content.
13. The Platform is not responsible for any monetary or consequential loss or damage caused to the Customer if the Helper refuses to join the Customer after initial discussion or leaves the engagement or employment if any made.
14. It is the Customer’s responsibility to exercise caution while using the services of the Helper that has been selected using the Platform. In case the Helper is negligent in his/herperformance, is intoxicated, violates the law or does anything contrary to law and general norms of service, it will be between the Customer and the Helper to sort out the dispute. The Company and the Platform shall not be held liablefor the Helper’s behaviour in any manner whatsoever. However, the Companyshall register your complaint, if you choose to call the Company’sCustomer Care number +91-9811442001 or email at contact@HelpersNearMe.com to lodge a complaint. The Company shall conduct an internal investigation to such matter at its own end, and in case of the Helper’s fault, the Companywill not allow the Helper to be listed on its Platform anymore.
15. The Customer shall not hold the Company and the Platform and any of its Partners or employees responsible for the character of the Helper who they might have selected from the list of contacts provided by the Platform.
16. The Customer shall not hold the Company and the Platform and any of its Partners or employees responsible for any unforeseen/illegal activities committed by the selected Helper (for e.g., theft/heinous offence/murder, etc.)
17. The Customer agrees that the Information provided by him/her to the Company will always be true, accurate, correct, complete and up to date, to the best of your knowledge. User agrees that the necessary details provided by the Customer to connect with the Helpers are true, accurate, correct, complete and shall ensure to keep it up to date, in case of any change.
18. The Customer must be 18 years of age or older to register, use the Services or visit the Website in any manner. By registering, or accepting this Agreement, You represent and warrant to the Company that You are 18 years of age or older, and that You have the right, authority and capacity to subscribe for and use the Services available through the Platform and agree to and abide by these Terms of Use. You also represent and warrant that you are not a person barred from receiving the Services under the laws of India or other countries.
It is strongly recommended that the Customers should also read the additional Safety & Security Guidelines available on the Platform before meeting or connecting with the Helper in any manner. (https://helpersnearme.com/safety-security-guidelines).

Furthermore, Helpers Near Me strongly recommends the Customers to abide by the ‘Be Good’ Guidelines.
Prohibitions

The Customer and the Helperare prohibited from:
1. i. Violating or attempting to violate the integrity or security of the Services or any of Platform’s software;
2. Transmitting any information (including messages and hyperlinks) on or through the Services that is disruptive or competitive to the provision of Services by the Company;
3. Intentionally submitting on the Services any incomplete, false or inaccurate information;
4. Making any unsolicited communications to other Users;
5. Using any engine, software, tool, agent or other device or mechanism (such as spiders, robots, avatars or intelligent agents) to navigate or search the Service;
6. Attempting to decipher, decompile, disassemble or reverse engineer any part of the Services unless explicitly permitted by Platform;
7. Copying or duplicating in any manner any of the Platform content or other information available from the Service;
8. Framing or hotlinking or deeplinking any Platform content; and
9. Circumventing or disabling any digital rights management, usage rules, or other security features of the software.
Limitation of Liability
1. To the extent permitted by law, the Company will not be liable for any indirect or consequential loss or damage to You (including without limitation loss of business, opportunity, data, profits) arising out of or in connection with the use of the Platform. You agree that even in case of any court case filed by them in any court of law in India, the maximum liability of the Companyshall not exceed the amount of money paid by the Customer to the Platform in connection to taking its Service.
2. The Company takes no responsibility for the quality of Service or the Helper requested by the Customer through the Platform. The quality of the Service is entirely the responsibility of the Helper who has been finally selected by the Customer to provide a particular Service. The Companydoes not take any liability in connection to the Service provided by the Helper including but not limited to the acts, actions, behaviour, conduct, and/or negligence on the part of the Helper.
3. Force Majeure: The Company shall not be held liable for any failure or delay in performance of Services by the Help where such failure arises as a result of any act or omission, which is outside our reasonable control such as unprecedented circumstances, overwhelming and unpreventable events caused directly and exclusively by forces of nature that can be neither anticipated, nor controlled, nor prevented by the exercise of prudence, diligence, and care, including but not limited to: war, riot, civil commotion; compliance with any law or governmental order, rule, regulation or direction and acts of third parties.
Taxes

You understand that we are acting solely as an intermediary between a Customer and the Helper. Because state and local tax laws vary significantly by locality, you understand and agree that you are solely responsible for determining your own tax reporting requirements in consultation with tax advisors and that we cannot and do not offer tax advice to either Customer or Helper. Further, you understand that the Company shall not be responsible or liable in any manner in relation to the tax liability of a Customer or a Helper.
Indemnity

The Customer/Helper agrees to indemnify and hold the Company and its Partners, employees and agents harmless from and against all liabilities, legal fees, damages, losses, costs and other expenses in relation to any claims or actions brought against the Company arising out of any breach by the Customer or the selected Helper/Customerthrough the Platform or any other liabilities arising out of the Customer’s use of the Platform.
Severance

If any of these Terms of Use should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction, then such Term or Condition shall be severed, and the remaining Terms of Use shall survive and remain in full force and effect and continue to be binding and enforceable.
Waiver

If you breach these Termsof Use and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these Termsof Use.
Assignment

The Customer and the Helper may not assign or sub-license the rights, duties or obligations under these Terms of Use, in whole or in part, to any person or entity without the prior written of the Company.
No Warranties

You agree that this Platform (including the website) is only for the employers to showcase their need for hiring an employee as per their requirement by posting available job. We do not specifically recommend any particular employee. It shall be the responsibility of the Customer to assess the experience and skills of the Helper whose profiles are posted on the Platform. Though we endeavour to verify basic information about the employees, we do not warranty or confirm the nature of the skills and experience the employees may possess, the truth or accuracy of the information provided by employees, the ability of employees to perform the given tasks.

There are risks, including but not limited to the risk of physical harm, of dealing with strangers, or people acting under false pretences. The Customer and the Helpers assume all risks associated with dealing with other users with whom you come in contact through the Platform.
Hackers

It is possible that other users (including unauthorized users or “hackers”) may post or transmit offensive or obscene materials on the Platform and that You may be involuntarily exposed to such offensive and obscene materials. We do not approve of such unauthorized use or acts.

You acknowledge and agree that we are not responsible for the use of any personal information that you publicly disclose or share with others on the Platform. Please carefully select the type of information that you publicly disclose or share with others on the Platform.
Promotions / Events

The Company and the Platform may, at its sole discretion, come up with additional terms which may apply to certain Services. These terms may be established with regards to a particular event, activity or promotion, and such additional terms will be disclosed to you in connection with the applicable services. These additional Terms and Conditions are in addition to, and therefore shall be deemed to be a part of, the original Terms and Conditions for the purposes of the applicable services. The additional terms shall prevail over the existing Terms and Conditions in the event of any conflict with respect to the applicable services.
Governing Law

These Terms of Use shall be governed by and construed in accordance with the law of India, and you hereby submit to the exclusive jurisdiction of the Delhi courts.
Termination

You may terminate this Agreement at any time by sending a notice in writing to Helpers Near Me at contact@HelpersNearMe.com, by asking the Company to remove all of your Content from your account, and by deleting your account and thereafter by ceasing to use the Platform.

The Company reserves every right to terminate the Service and your use of the Platform, if:
1. You have been using the Service or Application with an incompatible or unauthorized device;
2. You have violated any clause of theseTerms of Use, Privacy Policy or Copyright Policy;
3. You have misused, or abused or interfered with the use of the Platform. Misuse includes creating multiple or false profiles, infringing any intellectual property rights, violating any of the terms and conditions of these Terms of Use, or any other behavior that the Company, in its sole discretion, deems contrary to its purpose;
4. The Platform has a reasonable reason to do so, at its sole discretion.
In the event of termination by you or by the Platform, your account will be disabled and you shall not be granted access to the Platform for availing our Services. You will not be able to access our content unless you create another account with the Platform, with the consent of the Company.

The Terms of Use shall remain in full force and effect while you continue to have an account with us. Certain provisions of the Terms and Conditions shall remain in effect, even after Termination, including but not limited to, Intellectual Property and Indemnification.

Waiver
